Commercial & Technical Engagement Terms
These Terms of Service govern the use of the official web portal and define standard commercial software engagement practices between BLUVBERRY DEV and its corporate clients.
1. Scope of Services
BLUVBERRY DEV provides software engineering, system architecture design, web development, mobile application programming, cloud infrastructure configuration, and technical consulting services. Specific deliverables, delivery milestones, acceptance criteria, and fee structures are governed by formal written Statements of Work (SOW) or Master Services Agreements (MSA) executed between BLUVBERRY DEV and the client.
2. Intellectual Property Rights
Unless otherwise agreed in a specific written contract:
- Client Deliverables: Custom source code, bespoke application designs, and client proprietary assets created specifically for the client transfer to the client upon receipt of full contractual payment.
- BLUVBERRY DEV Core Assets: Pre-existing software libraries, reusable utility modules, architectural boilerplates, and developer tooling remain the intellectual property of BLUVBERRY DEV, with perpetual, non-exclusive licenses granted to the client for operational use.
3. Quality Assurance & Warranty
BLUVBERRY DEV commits to delivering software developed in accordance with prevailing industry engineering standards, security best practices, and agreed technical specifications. Custom software deliverables typically include a defined post-deployment warranty period for defect remediation as stipulated in the relevant service contract.
4. Limitation of Liability
In no event shall BLUVBERRY DEV be liable for indirect, incidental, consequential, or punitive damages resulting from third-party hosting outages, unauthorized system modifications executed by third parties, or failure of client-supplied hardware and network infrastructures.
5. Governing Law & Jurisdiction
These terms, and all commercial engagements arising hereunder, shall be governed by, construed, and enforced in accordance with the Laws of the Republic of Kenya. Any legal proceedings shall be subject to the exclusive jurisdiction of the competent courts of Kenya.
